1. WHO MAY USE THE THEOLOGY TOGETHER SERVICE

AGE REQUIREMENT: Only individuals who are at least eighteen (18) years old, or who have reached the age of majority in their jurisdiction if that age is higher, may create an account. Accounts are intended for parents and legal guardians who may use the Theology Together Service’s educational content with their children. Children are not intended account holders and may not create their own accounts. By creating an account and using the Theology Together Service, the account holder represents that they are an adult and, if permitting a minor to access educational content through their account, accepts responsibility for that minor’s use.

COLORADO MINOR DATA PROTECTIONS: The Colorado Privacy Act classifies children’s personal data as sensitive data. Theology Together will obtain opt-in consent before processing such data to the extent required by the Colorado Privacy Act.

USE BY MINORS: The Theology Together Service provides educational content designed for parents and guardians to use with their children. All accounts are owned and controlled by the adult account holder. Children are not intended or permitted to create their own accounts. If an adult account holder permits a minor to view content through the account holder’s account, the adult is responsible for supervising that use and ensuring the content is appropriate. The adult account holder consents to the minor’s access and assumes responsibility for it. Theology Together does not knowingly collect personal information directly from children under 13 and does not require children to provide personal information to access content.

ACCOUNT HOLDER RIGHTS: The adult account holder controls the account and may review and update the account information, manage access to the Theology Together Service, and delete the account at any time through available account settings or by contacting [email protected]. If the account holder is a parent or legal guardian who permits a minor to access educational content through the account, the account holder remains responsible for that use.

GROUP AND INSTITUTIONAL USE: When the Theology Together Service is used by or through a school, homeschool cooperative, church, Sunday school class, or other educational group, the institution or group organizer is responsible for obtaining any consents required by law and for ensuring compliance with applicable privacy and education laws. A qualifying educational institution may provide consent on behalf of parents under the school exception to COPPA, but that exception applies only to qualifying educational institutions and only to the extent permitted by applicable law.

COLORADO PUBLIC SCHOOL USE: This subsection applies specifically when the Theology Together Service is used by a Colorado public school, school district, or charter school. In that circumstance, Theology Together will comply with the Colorado Student Data Transparency and Security Act, C.R.S. § 22-16-101 et seq. Theology Together will not use student personally identifiable information (PII) for targeted advertising directed at students or sell student PII; will use student data only for purposes authorized by the educational institution or required by law; will maintain reasonable security for student data; will delete student data upon request of the school or district within a reasonable timeframe; and will provide transparency about its student-data collection and use practices. Theology Together will enter into any data-sharing agreements required by Colorado law with the educational institution.

WARNING: The Theology Together Service provides theological and biblical educational content. Some content may address mature or complex theological themes. Parents and guardians are responsible for determining whether specific content is appropriate for their children.

2. LICENSE TO USE THE THEOLOGY TOGETHER SERVICE

LICENSE: Theology Together grants you a limited, non-exclusive license to access and use the Theology Together Service for your own personal, non-commercial purposes. This includes the right to view content available on the Theology Together Service and to interact with the digital assets on such platforms and in such ways as provided by Theology Together in Theology Together’s sole and absolute discretion. This license is personal to you and may not be assigned or sublicensed to anyone else.  This license may be terminated by Theology Together at any time for any reason or no reason.

COMMERCIAL USE: You may not use the Theology Together Service for commercial purposes without written permission from Theology Together. If you are interested in obtaining a commercial license related to the Theology Together Service, please contact us at [email protected]. Group or multi-family access (for example, a co-op leader, church, or organization purchasing access for multiple families) requires a separate group license agreement. For group licensing inquiries, please contact [email protected].

CONTENT OWNERSHIP: Except for content that users independently submit to the Theology Together Service, all content provided by or on behalf of Theology Together and made available through the Theology Together Service, including, without limitation, educational materials, courses, videos, text, images, audio, graphics, logos, trademarks, and theological resources, is the proprietary property of Theology Together LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted in this Agreement, no right, title, or interest in such content is granted to you.

RESTRICTIONS: Except as expressly permitted by this Agreement, and without the prior written permission of Theology Together LLC, you will not scrape, access, copy, reproduce, download, distribute, republish, repost, display, transmit, modify, create derivative works from, sell, license, or otherwise exploit any content, materials, digital assets, or source code made available through the Theology Together Service. You will not share, forward, screenshot, screen-record, or otherwise distribute content from the Theology Together Service to any third party or on any social media platform, website, or other medium without the prior written permission of Theology Together LLC. You may access and view the Theology Together Service and make limited personal, non-commercial study notes for your own use, but personal use does not permit reproduction of substantial portions of the content or any sharing, forwarding, posting, uploading, publishing, selling, licensing, or other redistribution of the content or your notes. Nor will you attempt to circumvent any of Theology Together’s technical measures or take any measures to interfere with or damage the Theology Together Service. Any unauthorized use or reposting of content may result in suspension or termination of your account and may subject you to civil and criminal liability. All rights not expressly granted by Theology Together are reserved.

Notwithstanding the foregoing, account holders may download and print any materials expressly designated by Theology Together as downloadable (such as printable workbooks or activity sheets) for personal, non-commercial educational use within their household or, if authorized under a group license, within their licensed group.

3. PRIVACY

Your privacy rights are set forth in our Privacy Policy, which forms a part of this Agreement. Please review the Privacy Policy to learn about:

  • What information we may collect about you;
  • What we use that information for; and
  • With whom we share that information.

COLORADO PRIVACY ACT: Colorado residents have rights under the Colorado Privacy Act (C.R.S. § 6-1-1301 et seq.), including the right to (a) access their personal data; (b) correct inaccuracies in their personal data; (c) delete their personal data; (d) obtain a portable copy of their personal data; and (e) opt out of targeted advertising, the sale of personal data, and profiling in furtherance of decisions that produce legal or similarly significant effects. Theology Together will not discriminate against users who exercise these rights. Users may exercise these rights by contacting [email protected]. If Theology Together declines a request, the user may appeal the decision; if the appeal is denied, the user may contact the Colorado Attorney General. The Colorado Privacy Act provides heightened protections for children’s data as sensitive data and requires opt-in consent before processing such data to the extent required by law. Full details are provided in the Privacy Policy.

COLORADO DATA BREACH NOTIFICATION: In the event of a security breach involving the personal information of Colorado residents, Theology Together will provide notification in compliance with Colorado’s data breach notification law, C.R.S. § 6-1-716, including notification within thirty (30) days after determining that a breach occurred.

4. MEMBERSHIP

REGISTRATION: To fully use the Theology Together Service, you must register as a member by providing a password and valid email address. You must provide complete and accurate registration information to Theology Together and notify us if your information changes. If you are a business, government, or non-profit entity, the person whose email address is associated with the account must have the authority to bind the entity to this Agreement.  You agree that you will not upload the name, photo, or other personal identifying information of any person under the age of 18 to your account.  Violation of this requirement may be subject to immediate termination of the account.

EMAIL ADDRESS: Any email address that you provide must be owned and operated by you or your organization. You may not use someone else's name, email, or any name or email that violates any third party right, or a name or email that is obscene or otherwise objectionable.

ACCOUNT SECURITY: You are responsible for all activity that occurs under your account, including any activity by authorized or unauthorized users. You must not allow others to use your account credentials and you must safeguard the confidentiality of those credentials. If you are using a computer that others have access to, you must log out of your account after using the Theology Together Service. If you become aware of an unauthorized access to your account, you must change your password and notify [email protected] immediately.

5. TERM AND TERMINATION; ACCOUNT DELETION

TERM: This Agreement begins on the date you first use the Theology Together Service and continues as long as you have an account with us or for as long as you access any Theology Together Service, whichever is later.

ACCOUNT DELETION: You may delete your account at any time. Accounts may be deleted from the Theology Together Service if they remain inactive (i.e., the user fails to log in) for a continuous period of at least six (6) months.

TERMINATION FOR BREACH: Theology Together may suspend, disable, or delete your account (or any part thereof) or block or remove any content you submitted if Theology Together determines that you have violated any provision of this Agreement or that your conduct or content would tend to damage Theology Together’s reputation and goodwill. If Theology Together deletes your account for the foregoing reasons, you may not re-register for the Theology Together Service. Theology Together may block your email address and Internet protocol address to prevent further registration.

EFFECT OF TERMINATION/ACCOUNT DELETION: Upon termination, all licenses granted by Theology Together will terminate. Sections 5 through 19, to the extent applicable, and any provisions that by their nature should survive shall survive termination. In the event of account deletion for any reason, content that you submitted may no longer be available. Theology Together shall not be responsible for the loss of such content.

6. Refund Policy

ELIGIBILITY: If you purchase any paid subscription or service from Theology Together, you may request a full refund within thirty (30) calendar days of the initial purchase date.

SCOPE: This guarantee applies only to the initial purchase of a paid subscription or service and does not apply to renewals, except where a refund is required by applicable law. Access to paid features will be revoked promptly upon approval of the refund.

STATUTORY RIGHTS: Nothing in this Section limits or waives any statutory refund or cancellation rights you may have under applicable law.

AUTOMATIC RENEWAL DISCLOSURES: If any subscription or service automatically renews, Theology Together will (a) clearly and conspicuously disclose the automatic-renewal terms at or before the time of purchase; (b) obtain the consumer’s affirmative consent to the automatic renewal before charging the consumer; (c) provide a clear and easy mechanism to cancel, including online cancellation if the subscription was initiated online; and (d) send a reminder notice before any renewal that includes the cancellation procedure, consistent with C.R.S. § 6-1-732 et seq. Colorado consumers may cancel at any time through their account settings or by contacting [email protected].

9. LICENSES GRANTED BY YOU

LICENSE TO THEOLOGY TOGETHER: As between you and Theology Together, in the event that you submit any original content to any Theology Together Service, you own such original content. By submitting content, you grant Theology Together and its affiliates a worldwide, perpetual, non-exclusive, royalty-free license and right to host, store, copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from your content for purposes of operating, providing, improving, promoting, and protecting the Theology Together Service, including without limitation (i) displaying the content within the Theology Together Service; (ii) displaying the content on third-party websites and applications through a video embed or Theology Together’s API, subject to your content privacy choices; (iii) allowing other users to view and interact with the content within the Theology Together Service, subject to your content privacy choices; (iv) promoting the Theology Together Service, provided that you have made the content publicly available; and (v) archiving or preserving the content for disputes, legal proceedings, or investigations. This limited license does not transfer ownership of your content or permit redistribution.

10. YOUR REPRESENTATIONS AND WARRANTIES

For each piece of content that you submit, you represent and warrant that: (i) you have the right to submit the content to Theology Together and grant the licenses set forth above; (ii) Theology Together will not need to obtain licenses from any third party or pay royalties to any third party; (iii) the content does not infringe any third party's rights, including intellectual property rights and privacy rights; and (iv) the content complies with this Agreement and all applicable laws.

11. Indemnification

You will indemnify, defend, and hold harmless Theology Together and its affiliates, directors, officers, employees, and agents, from and against all third party actions that: (i) arise from your activities on the Theology Together Service; (ii) assert a violation by you of any term of this Agreement; or (iii) assert that any content you submitted to Theology Together violates any law or infringes any third party right, including any intellectual property or privacy right.

12. COPYRIGHT / DMCA

Theology Together respects the intellectual property rights of others and responds to notices of alleged infringement under the Digital Millennium Copyright Act (DMCA).

DESIGNATED AGENT: DMCA notices and counter-notifications should be sent to Theology Together’s designated agent: Prescott, Rodriguez, Ostrander, Wallshein & Taylor, P.C., Email: [email protected], Address: 188 Inverness Dr. W., Suite 430, Englewood, CO 80112, Phone: 303-990-5897.

TAKEDOWN NOTICES: A notice under 17 U.S.C. § 512(c)(3) must include the complaining party’s physical or electronic signature; identification of the copyrighted work claimed to have been infringed; identification of the material to be removed and information reasonably sufficient to locate it; the complaining party’s contact information; a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that the complaining party is authorized to act.

Upon receipt of a valid notice, Theology Together may remove or disable access to the material, notify the affected user, and take other actions permitted by the DMCA.

COUNTER-NOTIFICATIONS: If you believe material was removed or disabled by mistake or misidentification, you may send a counter-notification under 17 U.S.C. § 512(g)(3) that includes your physical or electronic signature; identification of the removed material and its former location; a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification; your name, address, telephone number, and email address; and a statement that you consent to the jurisdiction of the federal district court in the district where your address is located, or in the City and County of Denver, Colorado, and will accept service of process from the notifying party.

If Theology Together receives a valid counter-notification, it may restore the material between ten (10) and fourteen (14) business days after receipt unless the original complaining party notifies Theology Together that it has filed a court action seeking to restrain the allegedly infringing activity.

13. DISCLAIMERS

Theology Together reserves the right to modify the Theology Together Service. You are responsible for providing your own access (e.g., computer, mobile device, Internet connection, etc.) to the Theology Together Service. Theology Together has no obligation to screen or monitor any content and does not guarantee that any content available on the Theology Together Service complies with this Agreement or is suitable for all users.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, (i) Theology Together shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses; and (ii) Theology Together’s total liability to you shall not exceed the amounts paid by you to Theology Together over the twelve (12) months preceding your claim(s). These limitations do not apply to liability arising from Theology Together’s fraud, gross negligence, or willful misconduct, or to any liability that cannot be limited or excluded under applicable law.

15. GENERAL PROVISIONS

GOVERNING LAW: This Agreement and any dispute arising out of or relating to it or the Theology Together Service are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, except to the extent federal law or another rule of law requires otherwise. The Federal Arbitration Act governs the interpretation and enforcement of Section 16 to the fullest extent applicable. The Uniform Commercial Code, the Uniform Computer Information Transactions Act, and the United Nations Convention on Contracts for the International Sale of Goods do not apply.

DISPUTES: Except for matters eligible for small claims court and disputes that cannot lawfully be arbitrated, disputes arising out of or relating to this Agreement or your use of the Theology Together Service are governed by Section 16 (Arbitration Agreement and Class Action Waiver). If a dispute is permitted to proceed in court, you and Theology Together consent to exclusive jurisdiction and venue in the state or federal courts located in the City and County of Denver, Colorado, United States of America, and waive trial by jury to the fullest extent permitted by law.

INTERPRETATION; SEVERABILITY; WAIVER; REMEDIES: Headings are for convenience only and shall not be used to construe the terms of this Agreement. If any term of this Agreement is found invalid or unenforceable by any court of competent jurisdiction, that term will be severed from this Agreement. No failure or delay by Theology Together in exercising any right hereunder will waive any further exercise of that right. Theology Together’s rights and remedies hereunder are cumulative and not exclusive.

COLORADO CONSUMER PROTECTION ACT: Nothing in this Agreement is intended to waive any rights or remedies that a consumer may have under the Colorado Consumer Protection Act, C.R.S. § 6-1-101 et seq. The limitations and disclaimers in this Agreement apply only to the fullest extent permitted by Colorado law.

SUCCESSORS; ASSIGNMENT; NO THIRD PARTY BENEFICIARIES: This Agreement is binding upon and shall inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign this Agreement without Theology Together’s prior written consent. No third party shall have any rights hereunder.

NOTICES: You consent to receive all communications, including notices, agreements, disclosures, and other information from Theology Together electronically. Theology Together may provide such communications by email or by posting them on the Theology Together Service. For support-related inquiries, contact [email protected]. You may send notices of a legal nature to Theology Together at the following address:

Prescott, Rodriguez, Ostrander, Wallshein & Taylor, P.C., Attention: Legal Department 188 Inverness Dr. W., Suite 430, Englewood, CO 80112

Nothing herein shall limit Theology Together’s right to object to subpoenas, claims, or other demands.

MODIFICATION: This Agreement may not be modified except by a revised Terms of Service posted by Theology Together on the Theology Together Site or a written amendment signed by an authorized representative of Theology Together. A revised Terms of Service will be effective as of the date it is posted on the Theology Together Site.

ENTIRE AGREEMENT:

This Agreement and the Privacy Policy constitute the entire understanding between Theology Together and you concerning the subject matter hereof and supersedes all prior agreements and understandings regarding the same.

16. ARBITRATION AGREEMENT AND CLASS ACTION WAIVER

ARBITRATION: Except as provided in this Section, any dispute, claim, or controversy arising out of or relating to this Agreement, the Theology Together Service, or your relationship with Theology Together will be resolved by final and binding individual arbitration rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or, if AAA cannot administer the matter, by JAMS under its applicable consumer arbitration rules. For Colorado residents, arbitration will be conducted in a location reasonably convenient to the consumer, consistent with Colorado law and the applicable arbitration rules.

OPT-OUT: You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) calendar days after your first use of the Theology Together Service. The notice must include your name, the email address associated with your account, and a clear statement that you opt out.

CLASS ACTION WAIVER: To the fullest extent permitted by law, you and Theology Together agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

SMALL CLAIMS: Either party may bring an individual claim in small claims court if the claim qualifies and remains in that court. Bringing a claim in small claims court does not waive the right to arbitration for other claims.

EXCEPTIONS: This arbitration agreement and class action waiver do not apply where prohibited by applicable law. Nothing in this arbitration provision limits any right or remedy available to a consumer under the Colorado Consumer Protection Act that cannot be waived by agreement. To the fullest extent permitted by law, you and Theology Together waive trial by jury for disputes that proceed in court.

17. ACCESSIBILITY

Theology Together is committed to making the Theology Together Service accessible to people with disabilities and to maintaining accessibility in compliance with applicable requirements of the Americans with Disabilities Act (ADA) and the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA, to the extent applicable. If you experience an accessibility barrier, please contact [email protected] so we can provide assistance and consider reasonable improvements or accommodations.

18. ELECTRONIC COMMUNICATIONS

You consent to receive communications from Theology Together electronically, including by email, in-app notification, or posting on the Theology Together Site or Service. You agree that electronic notices, records, disclosures, and signatures satisfy any legal requirement that such communications be in writing, including the requirements of the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable electronic-transactions laws. You may withdraw consent to electronic communications by contacting us, but doing so may limit or prevent your use of the Theology Together Service where electronic communications are necessary.

19. FORCE MAJEURE

Except for payment obligations that have accrued, Theology Together will not be liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, government action, power or telecommunications failures, widespread Internet disruptions, cyberattacks, or failures of third-party providers. Theology Together will use commercially reasonable efforts to resume performance as soon as reasonably practicable.

THEOLOGICAL CONTENT: The Theology Together Service provides content reflecting Theology Together’s theological perspective. Theology Together is not liable for any dissatisfaction, disagreement, or claim arising from a user’s disagreement with the theological, doctrinal, or interpretive viewpoints expressed in the content. Use of the Service does not imply endorsement of every viewpoint by the user, nor does it create any obligation on Theology Together to present alternative theological positions.
